Terms of Use and Software License

Version 1.0 Effective date: August 27, 2026 Brazilian law

In short

  • You are renting software. It executes orders in your own account on the exchange, following the strategy available on the platform.
  • Your money does not pass through us. The API key is stored encrypted, must be created without withdrawal permission, and you can revoke it on the exchange whenever you want — which stops execution immediately.
  • The risk comes from the market. Trading with leverage can cause partial or total loss of capital. There is no guarantee of profit, and past results do not guarantee future results.
  • It is not asset management or advisory services. You are the one who decides to turn it on, turn it off, and how much to trade with. Trades take place in your account, under your responsibility.
  • Cancel whenever you want. No penalty and no minimum commitment, effective at the end of the billing cycle already paid. And there is a 7-day cooling-off period (Article 49 of the Consumer Protection Code — CDC) as long as the software has not been activated.
  • Brazilian law. If there is a conflict between versions in different languages, the Portuguese version prevails.

This is a summary for quick reading, written in plain language. What governs is the full text below.

1. Who we are and what this document governs

  1. These Terms govern signing up for and using CoinPilot2U, software for automating trading on crypto-asset exchanges.

  2. By creating an account, signing up for a plan, or activating the software, you (“User”) declare that you have read, understood, and fully accept these Terms. If you do not agree with any provision, do not use the service.

  3. Acceptance is recorded electronically. At registration, the User checks a dedicated box declaring that they have read and accept these Terms, and the system stores the date, time, IP address, and the version of the document accepted, permanently linked to their profile.

    Immediately after acceptance, we send the full text of these Terms to the registered email address, together with the acceptance receipt showing the document version, the date and time of the record, and the declaration of purpose set out in clause 5. The User therefore receives the full text of what they accepted — not just a notice that they accepted.

    The User’s profile keeps, permanently and accessible at any time, the record of acceptance and the link to the exact version of the document they accepted, even if the Terms are updated afterward. The acceptance receipt sent by email and the record in the profile constitute proof of acceptance for all purposes.

  4. These Terms may be amended at any time. The version in effect is always the one published on this page, with its update date. Material changes will be communicated to the registered email address, and continued use after such communication implies acceptance of the new version. A User who does not agree must cancel before the next billing cycle.

2. What the service is — and what it is not

  1. Declared purpose. The User declares, expressly and on an informed basis, that they are taking out the license for the specific purpose of trading in the crypto-asset futures and perpetual contracts market, in an account held in their own name, aware that this is a leveraged and extremely high-risk market. This declaration is included in the acceptance receipt sent to their email address.

  2. The subject matter of this agreement is the temporary grant of the right to use (software rental, on a subscription basis), on a non-exclusive and non-transferable basis, a computer program that executes buy and sell orders in the account that the User themselves maintains on a third-party exchange, according to parameters made available on the platform.

    The software is and remains the exclusive property of CoinPilot2U, protected by Law 9.609/1998 and Law 9.610/1998. The User does not acquire the program, the source code, or any stake in the business: they acquire the right to use it for as long as the subscription lasts.

    The plan fee pays exclusively for this right of use — it does not pay for results, profitability, performance, the execution of specific orders, or any promise of return. CoinPilot2U’s obligation is an obligation of means (obrigação de meio — making the software available in working order), never an obligation of result (obrigação de resultado).

  3. CoinPilot2U is not, and must not be construed as:

    • administration or management of a portfolio of securities or crypto-assets;
    • investment consulting, analysis, or recommendation;
    • a financial institution, brokerage, custodian, or intermediary;
    • a public investment offering, a collective investment contract (contrato de investimento coletivo), or a promise of income.
  4. We do not receive, hold in custody, move, or manage the User’s funds. The assets remain entirely in the User’s account and under the User’s custody, on the exchange chosen by the User, throughout the entire period of use.

  5. The API credentials provided by the User must be created without withdrawal permission. The User is solely responsible for generating, reviewing, and revoking their credentials, and declares that they are aware that configuring these permissions is exclusively their own act, performed in the exchange’s interface.

3. Risk — read carefully

Risk acknowledgment

Trading in crypto-assets and trading with leverage are extremely high-risk and may result in partial or total loss of the capital employed, including within a very short period and without prior notice.

The User declares that they understand this risk, that they trade with their own funds, the total loss of which will not compromise their livelihood, and that the decision to trade is solely theirs.

  1. There is, under no circumstances, any guarantee of profit, profitability, win rate, or capital preservation. Past results, simulations, backtests, historical data, and results published on any channel do not constitute a promise or an indication of future results.

  2. Automation executes rules systematically — it does not eliminate market risk, does not predict movements, and does not protect against volatility, gaps, low liquidity, forced liquidation, oracle failure, stablecoin depeg, protocol attacks, or any market event.

  3. The User acknowledges that the strategy adopted by the software may keep positions open at a loss for an indefinite period, and that this characteristic is inherent to how it works and was disclosed in advance.

  4. Every order executed by the software is executed for the account, on the order, at the risk, and under the responsibility of the User, who expressly authorized it by activating the automation, and who may interrupt it at any time using the controls provided.

  5. The User is solely responsible for calculating, reporting, and paying the taxes levied on their trades and results.

4. Service availability

  1. The service is provided “as is” and “as available”. There is no guarantee of uninterrupted or error-free operation, or of availability at any specific percentage, unless a service level has been expressly contracted in a separate instrument.

  2. We may, at any time and without prior notice, suspend, limit, change, update, or discontinue, in whole or in part, the software, features, strategies, plans, prices, or supported exchanges.

    If the service is permanently discontinued, the User will be entitled to a pro rata refund of the amount paid for the contracted period not used — and nothing beyond that.

  3. We are not liable for any unavailability, delay, error, interruption, or loss resulting, directly or indirectly, from:

    • failure, maintenance, rule changes, blocking, insolvency, or shutdown of an exchange or of any third party;
    • failure, change, limitation, latency, or discontinuation of third-party APIs;
    • failure of network, internet, power, cloud provider, blockchain, congestion, chain reorganization, or fee increases;
    • actions by a malicious third party, intrusion, exploitation of vulnerabilities, leaks caused by the User, or misuse of their credentials;
    • fortuitous events or force majeure (caso fortuito ou força maior), changes in legislation, judicial or administrative decisions, or orders from regulatory authorities.
  4. Scheduled and emergency maintenance may occur without notice. The User is advised to monitor their positions independently, directly on the exchange, and not to rely exclusively on the information displayed by the platform.

5. Limitation of liability

Limit

To the maximum extent permitted by applicable law, CoinPilot2U’s total liability to the User, for any cause and regardless of the number of events, is limited to the amount actually paid by the User in the 3 (three) months preceding the event giving rise to liability.

Under no circumstances are we liable for lost profits (lucros cessantes), loss of opportunity, loss of invested capital, indirect damage, derivative damage (dano reflexo), or expected gains.

  1. Losses resulting from market trades do not constitute a defect in the service. The software delivers the execution of rules; the financial result of that execution is a risk assumed by the User.

  2. The User undertakes to hold CoinPilot2U, its partners, officers, and team members harmless from any claim, lawsuit, loss, or expense — including attorneys’ fees — arising from the use of the service, from non-compliance with the purpose declared in clause 5, from violation of these Terms, or from violation of any third-party right or applicable rule.

6. User obligations and conduct

  1. The User declares that they are at least 18 years old, have full legal capacity, and are authorized to trade crypto-assets in the jurisdiction where they are located.

  2. The User declares that the funds employed are of lawful origin and owned by them, and undertakes not to use the service for money laundering, concealment of assets, illicit financing, or trading on behalf of third parties without proper legal authorization.

  3. The User is the operator of their own account on the exchange. It is exclusively the User’s responsibility to: keep the account active and in good standing; choose the amount they leave exposed; correctly configure the API key permissions; monitor their positions; and make proper use of the software, respecting the limits of the plan they signed up for and the platform’s instructions.

  4. The User is prohibited from: sharing, reselling, sublicensing, assigning, or granting access to third parties; reverse engineering, decompiling, or copying the software; automating improper access; or using the service for any unlawful purpose.

  5. The User is solely responsible for safeguarding their passwords, API keys, seed phrases, and authentication codes. We never request exchange passwords, private keys, seed phrases, or API Secrets via private message, ticket, or any other channel.

  6. Breach of these Terms authorizes the immediate suspension or termination of access, without refund and without prejudice to any appropriate measures.

7. Sign-up, payment, and cancellation

  1. Plans are taken out for the period and at the prices stated on the plans page at the time of sign-up. Prices may be adjusted upon prior notice, applying to the following billing cycle.

  2. The User may cancel at any time, effective at the end of the billing cycle already paid. There is no penalty and no minimum commitment.

  3. The cooling-off right (direito de arrependimento) provided for in Article 49 of the CDC applies to purchases made outside a commercial establishment, within 7 (seven) days from sign-up, provided that the software has not actually been activated to trade.

  4. No pro rata refund is given for a billing cycle in progress, except in the cases provided for in these Terms and by law.

8. Data and credentials

  1. We process personal data in accordance with the Brazilian General Data Protection Law (LGPD — Lei 13.709/2018) and the Privacy Policy, which forms part of these Terms.

  2. API credentials are stored in encrypted form and used exclusively to perform the contracted functions. The User may revoke them on the exchange at any time, which immediately stops execution.

  3. No security measure is infallible. The User acknowledges that the transmission and storage of data involve inherent risk and that creating keys without withdrawal permission is the most relevant protection under their direct control.

9. Final provisions

  1. Should any clause be held null, this does not affect the remaining clauses, which remain in full force and effect.

  2. Tolerance of non-compliance with any obligation does not constitute novation or a waiver of rights.

  3. These Terms are governed by Brazilian law, without prejudice to the consumer’s right to bring suit in the courts of their domicile.

  4. In the event of a conflict between versions in different languages, the Portuguese version prevails.
